• Corporate, Business & Real EstateBootstrap Corporate Redemptions

Bootstrap corporate redemptions are an excellent method of transferring real property [real estate] without incurring a re-evaluation of the value of such property for tax purposes, and for retaining the original investment basis of the property after ownership has been transferred [at a potentially higher price than was originally paid].

An example of a bootstrap corporate redemption would be as follows: seller, an owner operator of an income producing piece of real estate and a stock portfolio sells a portion of the stock in his corporate entity to the buyer representing the seller’s non-business assets [the fair market value of the real property] and then at the time of sale, redeems the equivalent value of stock for such non-business assets [stock portfolio, bank account etc.] therefore accomplishing the sale of the business assets [real estate] to the buyer while retaining the non-business assets for himself.
